Terms of Service

1. Acceptance of Terms

By registering for or using the NexOPD AI Assistant platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a clinic or organisation, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

NexOPD provides a cloud-based clinical workflow platform for healthcare providers, including AI-assisted visit notes, prescription management, pharmacy billing, patient communication, and related features. The Service is intended for use by licensed medical professionals and authorised clinic staff only.

3. Account Registration & Responsibilities

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must promptly notify us of any unauthorised use of your account.
  • Each clinic location must be registered under the correct entity details.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload or transmit any data that infringes on intellectual property rights.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit malicious code.
  • Sell, resell, or sublicence the Service without our prior written consent.

5. AI Features Disclaimer

NexOPD's AI features (including visit summaries, AI notes, and diagnostic suggestions) are provided as decision-support tools only. They are not a substitute for professional medical judgement. All clinical decisions remain the sole responsibility of the licensed healthcare provider. NexOPD makes no warranty that AI-generated content is accurate, complete, or appropriate for any specific clinical situation.

6. Subscription & Payment

  • Subscription fees are billed monthly in advance as per the selected plan.
  • Payments are processed securely through Razorpay. We do not store payment card details.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • No refunds are provided for partial months or unused features.
  • We reserve the right to change pricing with 30 days' notice to existing subscribers.

7. Data Ownership & Privacy

You retain full ownership of all patient data and clinical records entered into NexOPD. We act as a data processor on your behalf. Our collection and use of data is governed by our Privacy Policy, which forms part of these Terms.

8. Intellectual Property

The NexOPD platform, including its software, design, logos, and content, is owned by NexOPD and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

9. Service Availability

We aim for 99.9% uptime. However, the Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. We will provide advance notice of planned maintenance where possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NexOPD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability in any circumstance shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim.

11. Termination

Either party may terminate these Terms at any time. You may cancel your account from the settings panel. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, you may request an export of your clinic's data within 30 days.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
